Application, General Definitions And Entire Agreement

• The Company: WholeToolBox

• The Buyer: the individual, business, or entity entering into a sales agreement with the Company, including any delivery address specified during the order process.

• The Agreement: The contract for the sale and purchase of goods based on these terms and conditions made between the Customer and the Company.

• These terms and conditions apply when the buyer places an order for the goods specified in our quotation.

• These terms and conditions constitute the entire agreement between the buyer and The Company. The agreement is considered accepted when the buyer accepts the quotation or when the goods are delivered, whichever occurs first.

• The quotation and these terms and conditions (collectively the "Contract") govern the sale and purchase of goods between the buyer and the company.

General Interpretation & Definitions

• A "business day" refers to any day that is not a Saturday, Sunday, or public/national holiday.

• The section titles in these terms are for convenience only and do not influence their interpretation.

• Words in the singular also refer to the plural, and vice versa.

Product Descriptions

• The information in our catalog, brochures, and website is intended to provide a general overview of the products.

• While we strive for accuracy in product specifications, measurements, pricing, and images, actual products may differ slightly from those shown due to product enhancements or updates.

• The product descriptions in our quotation and/or sales order are final. By accepting the quotation or sales order, the buyer acknowledges they have not relied on any prior representations regarding the products.

• Sales documentation should be viewed as reference material and not as an exact representation of the product.

Placing Orders

• The buyer is responsible for ensuring the accuracy of any orders placed.

• Trial sales are not available for our products. Before making a purchase, the buyer should review product specifications and ensure they are suitable for the intended use. By placing an order, the buyer confirms they have assessed the product's specifications and suitability.

• WholeToolBox does not guarantee that products will be suitable for specific applications or that they will fit the buyer’s property, including entryways or door sizes.

• Orders accepted by WholeToolBox may be canceled based on stock availability, fraud prevention, or if the items are unavailable at the time of shipment.

Pricing of Goods

• Prices include all applicable taxes.

• Shipping charges are not included in the quoted price unless otherwise specified.

• The quoted price covers only the cost of the goods and does not include installation or setup.

• Any discounts offered are at WholeToolBox’s discretion.

• Prices may change if updates occur after the quotation date.

• All orders placed on our website are subject to acceptance.

• Full payment is required at the time of ordering, unless otherwise agreed. 

Delivery Terms

• Goods will be delivered to the address provided in the buyer’s purchase order within the agreed-upon timeframe.

• Delivery times are estimates only and are not guaranteed.

• The company will make every effort to deliver on time, but is not liable for delays or non-delivery, even if expedited services are requested. The buyer agrees not to hold WholeToolBox responsible for delays or additional costs incurred due to such delays.

• The buyer must inspect the goods upon delivery or pickup. Any damages, incorrect items, or shortages must be reported within 24-48 hours of delivery, along with supporting details or photographic evidence.

• Returns are the responsibility of the buyer and must be made at their own risk and expense.

• The Company is not liable for delivery delays or non-delivery. Delivery times are approximate.

• Orders will be delivered from WholeToolBox’s inventory.

• Deliveries are made curbside. The buyer is responsible for ensuring their property can accommodate the delivery and that proper arrangements are made to receive the goods. The Company is not liable for the buyer’s failure to ensure items fit their property.

• WholeToolBox reserves the right to refuse delivery if the premises are unsuitable or unsafe for delivery.

• The buyer must inspect the goods upon delivery. If no discrepancies are reported within 24-48 hours, the goods will be considered accepted.

Returns Policy

• Once an order is confirmed, cancellations are not permitted.

• Returns are accepted within 30 days from the date the order is delivered.

• Incorrectly ordered items can only be returned with prior authorization from The Company. Unauthorized returns will not be accepted. Return requests must include a Return Merchandise Authorization (RMA) number, which must be obtained from WholeToolBox.

• Return requests must be submitted via email (contact@wholetoolbox.com). 

• Return requests over the Phone or Chat will not be processed.

• Items must be returned in their original, undamaged packaging, in unused condition, and complete with all manuals and accessories.

• Items like sealed electronic components or opened goods are not eligible for returns.

• Special order items are not eligible for returns

Returns will only be accepted under the following conditions:

• Written agreement from The Company

• Payment of any applicable restocking or handling fees

• The goods are unused, undamaged, and in their original packaging

The buyer is responsible for all return shipping fees. The buyer must also ensure the goods are properly insured while being shipped back to WholeToolBox. WholeToolBox is not liable for any loss or damage during the return process. Refer to our Returns & Refunds policy for more information.

Warranties:

• Apart from the warranty offered by the manufacturer, the Company does not offer any additional guarantees (express or implied) regarding the quality or suitability of the products for any specific use.

Product Specifications:

• The product specifications on our website are provided by the manufacturers.

• As the buyer, you are responsible for ensuring that the products are suitable for their intended use and comply with all applicable laws and regulations, including intellectual property rights.

Liability Disclaimer:

• The Company is not liable for any claims, losses, or damages arising from misrepresentation, breach of contract, delivery delays, negligence, or any other cause.

• We disclaim liability for any damages arising from the use of our website, catalogs, brochures, or other promotional materials, including errors or omissions. This includes, but is not limited to, direct, indirect, incidental, or consequential damages, such as loss of revenue, data, profits, or other financial harm.

• Neither party will be liable for failure to perform due to events outside their reasonable control, including natural disasters, strikes, wars, fires, or other unforeseen events.

Governing Law

Any disputes arising from this Agreement will be governed by the laws of the United States, and subject to the jurisdiction of the relevant courts in the United States.
